On July 15, 2022, Meizhong Health Industry Development Co., Ltd. (“Meizhong Health”), a wholly owned subsidiary of America Great Health entered into a Cooperation Agreement (the “Agreement”) with Nanjing Zansheng Enterprise Service Center. (“Nanjing Zansheng”) pursuant to which the parties will establish a joint venture in China (the “JV Company”) for the purposes of fundraising and promoting oral insulin-related products, as well as developing new oral insulin drugs. Nanjing Zansheng shall invest one million RMB in the JV Company as registered capital, to account for 49% equity ownership of the JV Company; MeiZhong Health shall transfer and invest its oral insulin-related technologies, which is patent pending, into the JV Company as its capital contribution, to account for 51% equity ownership of the JV Company. Meizhong Health shall designate a person to act as general manager of the new company, who shall be responsible for the JV Company’s operations and management.
