Xinjiang Wuse, with its strategic location in Xinjiang, China, has the advantageous resources based on the homology of medicine and food in Xinjiang, and has built a supply chain operation platform for medicine and food from the same source of supply base, product selection center, distribution center and urban warehouse. Under the Contract, the high-end biotechnology products developed and produced by the Company are consistent with Xinjiang Wuse’s product system and will be implanted into its marketing network system as high-end products in the city warehouse. (the “Company”), a wholly owned subsidiary of America Great Health, entered into a Technology Contract for Commissioned Development (the “Contract”) with Yunan Yunchi Xiai Trading Co. Ltd., a Chinese company (“Yunchi”). Under the Contract, Yunchi has engaged the Company to provide specialized technical development for its ionic peptide project using liquor distiller’s grains and will compensate the Company for these services. The development involves the Company’s proprietary, patented protein peptide surface ion modification, transformation, and activation technology, which will be applied to Yunchi’s existing liquor tank raw materials. This process will not only preserve the original properties of the materials but also add the ability to inhibit the growth of cancer cells in vitro. According to the Contract, the technology development will take place in a laboratory in the United States, while the experimental base will be in China. The development period is set for three (3) months.

On October 11, 2023, America Great Health. (the “Company”) was informed that Gries & Associates, LLC (“Gries”) had sold its business to GreenGrowth CPAs (“GreenGrowth”). On October 22, 2023, the Company engaged and executed an agreement with GreenGrowth CPAs (“GreenGrowth”), as the Company’s new independent accountant to replace Gries. The reports of Gries regarding the Company’s financial statements for the fiscal years ended June 30, 2023 and 2022, being the two most recent fiscal years for which the Company has filed audited financial statements with the Securities and Exchange Commission (the “SEC”), did not contain any adverse opinion or disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope or accounting principles, except to indicate that there was substantial doubt about the Company’s ability to continue as a going concern. The board of directors of the Company, acting as the audit committee, approved the decision to change independent accountants. During the fiscal years ended June 30, 2023 and 2022, and through October 22, 2023, the Company had no disagreements (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K) with Gries on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedures, which disagreements, if not resolved to the satisfaction of Gries would have caused Gries to make reference thereto in connection with its report. During the fiscal years ended June 30, 2023 and 2022, and through October 22, 2023, the Company did not experience any reportable events (as defined in Item 304(a)(1)(v) of Regulation S-K), except that management of the Company discussed with Gries the continued existence of material weaknesses in the Company’s internal control over financial reporting. The Company requested Gries to furnish it with a letter addressed to the SEC stating whether or not Gries agrees with the above statements and, if it does not agree, the respects in which it does not agree. A copy of the letter, dated October 24, 2023, is filed as Exhibit 16.1 to this current report on Form 8-K. During the Company’s fiscal years ended June 30, 2023 and 2022, and through October 22 2023, neither the Company nor anyone on the Company’s behalf consulted with Gries regarding any of the following: (i) either the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, and neither a written report nor oral advice was provided to the Company that Gries concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue; or (ii) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K) or a reportable event (as defined in Item 304(a)(1)(v) of Regulation S-K).

AAGH has entered into a New Drugs Application and Joint Venture agreement with CIMC

On October 04, 2023, America Great Health (the “Company”) entered into a New Drugs Application and Joint Venture Agreement (the “Agreement”), with CIMC Automatic Control System Technology (Liaoning) Co., Ltd. (“CIMC”), in which both parties agree to establish a joint venture in Beijing, China aiming to develop and promote the Bio-active Protein Peptide supplements and Peptide medicinal in China (“New Venture”). Upon execution of the Agreement, the Company shall contribute its technologies and marketing assistance, and owns 30% of total outstanding shares of the New Venture; CIMC shall contribute all required working capital and other resources, and owns 70% of total outstanding shares of the New Venture. The total registered capital of the New Venture shall be $10 million RMB. CIMC shall also be responsible for all required capital in the new drugs application and approval process which is approximately 200 million RMB. Both parties further agree that the New Venture shall distribute 10% of its net profit to the Company annually for R&D and product productions.

(“SHOWA”), and Jeffery Tu & Eric Hsu, entered into a Cooperation Agreement (the “Agreement”), in which three parties shall establish a strategic partnership in Japan to produce and promoting Bio-active Protein Peptide in Japan. Upon execution of the Agreement, the Company shall supply to SHOWA all of its current and future Bio-active Protein Peptide supplements and Peptide medicinal, including the patented oral insulin products and raw materials. Dr. David Tsai and his R&D team will provide required technical and research support, as well as training and consultation as needed by SHOWA. As consideration, the Company shall issue 50,000,000 common shares to SHOWA, in addition, the Company shall transfer 5% of total common shares of GOF Biotechnologies, Inc. to SHOWA. SHOWA, as a Japanese based company, shall use its best effort in promoting the Company’s Bio-active Protein Peptide and related products in Japan, and shall be in charge of the overall marketing strategy, day-to-day business operations, products design, public relations, etc. As the Company’s exclusive strategic partner in Japan, SHOWA shall be responsible for marketing and promoting all of the Company’s Bio-active Protein Peptide and related products within the territory of Japan and other mutually agreed regions. In addition, SHOWA shall achieve the following milestones in sales during the next four years period of time: 150,000 bottles during year one, 300,000 bottles during year two, 600,000 during year three, 1,000,000 bottles during year four.

Prior to engaging GRIES on April 28, 2023, the Company has not consulted GRIES regarding the application of accounting principles to a specified transaction, completed or proposed, the type of audit opinion that might be rendered on our financial statements or a reportable event, nor did the Company consult with GRIES regarding any disagreements with the Company’s prior auditor on any matter of accounting principles or practices, financial statement disclosure, or auditing scope of procedure, which disagreements, if not resolved to the satisfaction of the prior auditor, would have caused it to make a reference to the subject matter of the disagreements in connection with its reports. Prior to the appointment of GRIES, on March 8, 2023, WWC, P.C. (“WWC”) was terminated as the independent registered public accounting firm for the Company. The decision to change audit firms from WWC to GRIES was approved by the Company’s Board of Directors. The report of WWC on the financial statements of the Company as of and for the years ended June 30, 2022, did not contain any adverse opinion or disclaimer of opinion, and was not qualified or modified as to uncertainty, audit scope, or accounting principle. During the Company’s year ended June 30, 2022, and through March 8, 2023, there were no disagreements with WWC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements, if not resolved to WWC’s satisfaction, would have caused WWC to make reference to the subject matter of the disagreement in its reports on the Company’s financial statements. During the Company’s year ended June 30, 2022, and through March 8, 2023, there were no reportable events of the type described in Item 304(a)(1)(v) of Regulation S-K. The Company provided WWC with a copy of this Current Report on Form 8-K prior to its filing with the SEC and requested that WWC furnish a letter addressed to the SEC stating whether it agrees with the statements made above. Attached as Exhibit 16 hereto is a copy of WWC’s letter to the SEC, dated May 3, 2023.

USPTO issued a patent of a method of Oral Administration Insulin to AAGH

On October 25, 2022, the United States Patent and Trademark Office (the “USPTO”) issued U.S. Patent No. 11478534 B1 (the “534 Patent”) and made publicly available provisional patent application (U.S. Application No. 17/374.317) (the “Provisional Patent Applications”) to which the 534 Patent claims priority. The 534 Patent and the Provisional Patent Application for Formulation and Method of Preparing Zinc-Charged Insulin for Oral Administration described an invention that is directed to a zinc-charged insulin composition that is effective in treating diabetes and lowering and stabilizing blood glucose levels when administered orally. The zinc-charged insulin is acid and enzyme resistant, such that the zin-charged insulin is capable of surviving the acidic conditions of the stomach. The zinc-charged insulin is capable of being absorbed through the gastrointestinal tract and stored in the liver, such that the zinc-charged insulin is long lasting and similar to the insulin normally generated by the body.

AAGH has entered into a Cooperation Agreement with Purecell

On June 30, 2020, America Great Health (the “Company”) and Purecell Group (“Purecell”), a leading anti-aging medical institution in Australia, entered into a Cooperation Agreement (the “Agreement”), in which the Company agreed to acquire 51% of the equity of Purecell, as consideration, the Company shall issue 510,000,000 common shares to Purecell’s nominated trustee. Upon completion of the acquisition transaction, Purecell shall remain autonomy in its day to day operation, including recruiting and retaining management team members. On April 04, 2022, the Company and Purecell entered into an Addendum to the Agreement, among which, Item 3 of Section I of the Agreement was modified to Purecell shall has “priority distribution rights in Australia”, instead of the “management autonomy rights in Australia”; Separately, Item 7 of Section II was modified to reflect some changes to the shareholder’s rights and management structure, such as the current management board of Purecell shall continue managing the day-to-day operations and shall serve in that capacity until that both parties designate a new management board by a majority vote, etc. All other provisions of the Agreement remain in full force and effect.

AAGH has entered into an agreement with Qiyu and Boyadi

On August 16, 2022, the Company’s wholly owned subsidiary Meizhong Health Industry Development Co., Ltd. (“Meizhong”) entered into a Cooperation Agreement with Qiyu Nanjing Enterprise Management Co., Ltd. (“Qiyu”) and Shaoxing Boyadi Textile Co., Ltd. (“Boyadi”), among which, the three parties will jointly invest in building the great health products trading market located in Huai’an City, China, with a total investment of 20 million RMB. Upon execution of this Agreement, a joint venture will be established by the three parties, with a registered capital of 1 million RMB, of which Meizhong, Qiyu, and Boyadi will account for 42%, 28% and 30% of the joint venture, respectively. Meizhong shall be responsible for preparing the application material package for obtaining valid approvals for the project from the competent governmental authorities, planning, construction, management, production operation, raw materials purchase and products sale of the project, carrying out the operations and investment promotion efforts, etc.; Qiyu and Boyadi shall be responsible for raising funds for the entire project and conducting capital operation of the project, assisting Meizhong in investment promotion efforts, communicating with the local governmental authorities and trying to get preferential policies. The term of this joint venture shall be five years, upon expiration, the period may be extended for another five years.

Zhigong Lin no longer holds position as AAGH’s Executive Vice President or Chief Executive Officer of GOF

Starting August 12, 2022, Zhigong Lin no longer holds position as AAGH’s Executive Vice President or Chief Executive Officer of GOF. Zhigong Lin’s new position is the advisor/ consultant of the Company. Lin no longer receives any monthly compensation.

AIBEIDA has entered into an Investment Cooperation Agreement with AAGH

(the “Company”) pursuant to which the AIBEIDA agrees to assign 60% of its ownership equity in its wholly owned subsidiary CBD99, Inc., which is currently valued at USD $2,660,000. AIBEIDA will purchase two patents from third parties with total valuation of USD $540,000 and transfer the patent into CBD99, Inc., upon such transfer, the total valuation of CBD99, Inc. will be USD $3,200,000. The Company will transfer worth of $4.8 million dollars of the Company’s outstanding shares (USD 0.1 per share) to AIBEIDA in exchange for the 60% ownership equity in CBD99, Inc. After such investment, the Company will become 60% shareholder of CBD99, Inc. A stock certificate represents the shares will be issued to AIBEIDA accordingly. AIBEIDA has the agency rights of the raw material extraction processing and formulation technology and equipment of Hangzhou AIBEIDA Technology Co., Ltd., CBD99, Inc. is a wholly owned subsidiary of AIBEIDA incorporated in April 2018 in Oregon, USA., which has built a production and processing factory with a monthly capacity of 1,000 kg cannabidiol distillate and isolate.

On June 28, 2022, the United States Patent and Trademark Office (the “USPTO”) issued U.S. Patent No. 11371037 (the “037 Patent”) and made publicly available provisional patent application (U.S. Application No. 17/374.357) (the “Provisional Patent Applications”) to which the 371 Patent claims priority. The 037 Patent and the Provisional Patent Application described an invention that is directed to a method of preparing zinc-charged pancreatic enzymes, which is further directed to a method of treating cancer and inflammation using the zinc-charged pancreatic enzymes. Charging the pancreatic enzymes with zinc ions activate the pancreatic enzyme’s anticancer and anti-inflammation properties and make the enzymes capable of being administered orally. It is observed that the zinc-charged pancreatic enzymes are able to induce apoptosia in various cancer cells without affecting the normal cells. The zinc-charged pancreatic enzymes have also been observed inducing apoptosis in trophoblasts and reducing inflammation in general. Our study has revealed that amylase-Zn possesses multiple anticancer mechanisms. First, in additional to the induction of apoptosis, amylase-Zn reduced the expression of PD-L1 in cancer cell lines by 90%, suggesting that amylase-Zn may be used as an immunotherapy agent for cancer treatment. Secondly, amylase-Zn reduced the expression of c-Myc by 45%, which may inhibit tumor growth. Third, amylase-Zn inhibited the secretion of IL-6, IL-8 and TNF-alpha, suggesting that amylase-Zn may inhibit cancer metastasis. In vitro, cell lines study showed that amylase-Zn has strong apoptosis-inducing activity on various pancreatic cancer cell lines such as: BxPC-3, AsPC-1, HPAF-II, and Capan-2. Tissue distribution study further showed that after amylase-Zn was administrated to mice, a high concentration of amylase-Zn was detected in pancreas homogenate. Hence, amylase-Zn may be developed as an anti-pancreatic cancer drug, which will be the focus of the research for this IND application. The efficacy of amylase on pancreatic cancer, toxicology study, and pharmacokinetics study will be all performed as part of this exploration.

Mr. Chen, age 61, has more than two decades of practice experience in public and private accounting where he specialized in both private and public company financial audits, oversight over financial reporting, cash management, tax compliance, and mergers and acquisitions. From October 2018 through present date, Mr. Chen was the Chief Financial Officer of NuOrganic Cosmetics. From September 2014 – July 2019, he was a financial controller at Gardiner & Theobald, an independent global consultancy to the construction and property industry. At the same time, he served as the chief tax consultant of real estate investments at 42nd Street Realty, a well- known Times Square Realty Company of New York City, and provided consulting service in the asset management and tax planning of trusts and estates to high-profile. Prior to that, Mr. Chen spent about ten years as an auditor and tax accountant with several public accounting firms in the New York City metropolitan area. Mr. Chen holds a Master of Business Administration from Baruch College, Zicklin School of Business. Mr. Chen’s initial term of employment is for one year with a probationary period of three months. His initial monthly salary is $6,000. In addition to his monthly salary, Mr. Chen will be award 4,000,000 shares of the Company’s common stock upon the first anniversary of his employment and 3,000,000 shares of the Company’s common stock on each of his second and third anniversaries. The decision to change audit firms from TAAD to WWC was approved by the Company’s Board of Directors. The report of TAAD on the financial statements of the Company as of and for the years ended June 30, 2021 and June 30, 2020 did not contain any adverse opinion or disclaimer of opinion, and was not qualified or modified as to uncertainty, audit scope, or accounting principle.
